§ 1Background & Purpose

  1. The Client is a licensed real estate salesperson based in Auckland, New Zealand, specialising in the Bayside (Mission Bay, Kohimarama, St Heliers, Glendowie) and Central Gold (Remuera, Meadowbank, Ellerslie, Mount Wellington, Panmure) suburb markets, with particular focus on bilingual Chinese-English clients.
  2. The Provider offers digital marketing infrastructure services including website development, search engine optimisation (SEO), AI-search visibility optimisation (also known as GEO or Generative Engine Optimisation), blog content operations, email newsletter systems, and messaging integration.
  3. The Parties wish to engage the Provider to deliver a bounded 90-day service programme (the “Services”) to rebuild and optimise the Client’s personal brand website romanhu.com, establish long-tail keyword coverage, and build audience-capture systems, all as more particularly described in Schedule A.
  4. The Parties acknowledge that the Client is the Provider’s first showcase engagement in the New Zealand real estate agent vertical, and that this engagement is priced accordingly.

§ 2Definitions

“Agreement”
this document together with Schedule A and any written variation signed by both Parties.
“Effective Date”
the date of the last signature below.
“Fee”
NZ$1,500.00 exclusive of GST; NZ$1,725.00 inclusive of GST at 15%.
“Service Period”
the ninety (90) calendar days commencing on the Effective Date.
“AI Platforms”
OpenAI ChatGPT, Perplexity, Anthropic Claude, Moonshot Kimi, and ByteDance Doubao, each as publicly accessible on the Test Date.
“Test Date”
the calendar date falling 90 days after the Effective Date, or the next business day if that day is a Saturday, Sunday, or Auckland public holiday.
“Schedule A”
the itemised list of deliverables set out at the end of this Agreement.
“Deliverables”
the outputs described in Schedule A.

§ 3Services

  1. The Provider will use commercially reasonable efforts to deliver the Services as described in Schedule A within the Service Period.
  2. The Services fall within six categories:
    1. Website build (Astro + Sanity CMS on Cloudflare Pages);
    2. Blog content operations;
    3. AI visibility (GEO) optimisation;
    4. Long-tail keyword research & mapping;
    5. Newsletter system setup (Beehiiv or equivalent);
    6. WhatsApp business-messaging setup.
  3. The Provider may substitute equivalent tools (for example, using ConvertKit in place of Beehiiv, or Ghost in place of Sanity) provided the substitution does not reduce the functionality delivered.
  4. The scope expressly excludes paid advertising execution (Meta / Google / TikTok / any paid channel), professional photography or videography, translations beyond simplified Chinese, and any activity not listed in Schedule A.

§ 4Fees & Payment

  1. The Fee for the Services is a single sum of NZ$1,500 exclusive of GST (NZ$1,725 inclusive of GST at 15%), payable in one instalment.
  2. The Provider will issue an invoice on or after the Effective Date. The Client will pay the invoice by direct bank transfer within seven (7) days of receipt.
  3. Website build is provided at no additional cost; it is included within the Fee.
  4. The Client is responsible, at the Client’s own cost, for:
    1. domain name registration and renewal for romanhu.com;
    2. any hosting or SaaS charges above the free tier of the platforms used (as at the Effective Date, all platforms selected in Schedule A operate within their free tier for the Client’s expected volume);
    3. any paid advertising spend, if the Client chooses to run any (out of scope of this Agreement).
  5. All amounts are in New Zealand Dollars. Late payment (more than 14 days past the invoice due date) attracts interest at 1.5% per month on the unpaid balance until paid in full.

§ 5Term & Commencement

  1. This Agreement commences on the Effective Date and continues for the Service Period (90 days), unless terminated earlier under § 10.
  2. The Provider will endeavour to hold a kick-off meeting (video or in-person) with the Client within seven (7) days of the Effective Date to align on brand assets, content sources, and access requirements.
  3. On expiry of the Service Period, this Agreement ends automatically. Any continued or renewed engagement is subject to a separate written agreement.

§ 6AI Visibility Guarantee & Refund

  1. Test procedure. On the Test Date, the Parties will jointly conduct an AI Visibility Test as follows:
    1. using a fresh incognito / private browser session with no prior context, both Parties will run each of the queries defined in § 6.2 on each of the five AI Platforms defined in § 2;
    2. for each platform, the Parties will record whether the AI response identifies the association between “Roman Hu” and “Ray White Mission Bay”, in any phrasing;
    3. both Parties will retain screenshots as evidence of the Test outcome.
  2. Queries. The Test queries are:

    Query 2:   Roman Hu Ray White Mission Bay
  3. Success criterion. The AI Visibility criterion is met if at least two (2) of the five (5) AI Platforms identify the association between Roman Hu and Ray White Mission Bay in response to Query 1 or Query 2 (either query counts).
  4. Refund entitlement. If fewer than two Platforms meet the criterion:
    1. the Client may request a full refund of the Fee (NZ$1,725 inclusive of GST) by written notice to the Provider (email is sufficient) within seven (7) days after the Test Date;
    2. upon receipt of a valid notice, the Provider will refund the full Fee by direct bank transfer within fourteen (14) days;
    3. on payment of the refund, both Parties are released from further obligation under this Agreement, without prejudice to accrued rights.
  5. Waiver. If the Client does not deliver a valid written refund request within seven (7) days after the Test Date, or if two or more Platforms meet the criterion on the Test Date, the Services are deemed accepted and the refund entitlement is waived.
  6. Exclusivity. The refund remedy in this § 6 is the Client’s sole and exclusive remedy for any dissatisfaction with the AI visibility outcome of the Services. It does not extend to any other aspect of the Services.

§ 7Responsibilities of the Parties

§ 8Intellectual Property

  1. Upon payment of the Fee in full, all right, title, and interest in the Deliverables produced specifically for the Client (including website source code, page content, blog posts, keyword lists, email templates, and any custom graphic assets) will vest in the Client.
  2. The Provider retains ownership of pre-existing methodologies, prompts, code libraries, plugin frameworks, and generic templates used to produce the Deliverables. The Provider grants the Client a non-exclusive, perpetual, royalty-free licence to continue using any such pre-existing components embedded in the Deliverables after this Agreement ends.
  3. The Client owns all photography, biography content, testimonials, and personal likeness they provide to the Provider. The Provider is granted a limited licence to use those materials solely to perform the Services.
  4. Third-party content (stock images, fonts, plugins, CMS templates) remains subject to its own licence terms; the Provider will only incorporate third-party content under licences compatible with the Client’s use of romanhu.com.
  5. Case study rights. Unless the Client notifies the Provider in writing before the Effective Date, the Provider may reference this engagement and its aggregate outcomes (traffic, AI visibility results, subscriber growth) in the Provider’s own marketing materials, subject to redaction of any personally identifiable information not otherwise publicly known.

§ 9Data, Privacy & Confidentiality

  1. Each Party will treat as confidential any non-public information disclosed by the other Party in connection with this Agreement, and will not disclose it to third parties without written consent, except (a) to professional advisers under a duty of confidence, or (b) as required by law.
  2. The Provider will comply with the New Zealand Privacy Act 2020 in handling personal information collected via the systems it sets up on the Client’s behalf.
  3. Newsletter subscriber lists collected via the systems set up under Schedule A § 5 belong to the Client. On expiry of this Agreement, the Client retains full and sole ownership of and access to those lists.
  4. WhatsApp Business account credentials and message archives belong to the Client at all times.
  5. The Provider is not a data processor for any Client third-party client data. If the Client wishes to process property enquiries, buyer databases, or vendor lists through systems the Provider sets up, the Client is responsible for compliance under REAA 2008 and the Privacy Act 2020.
  6. The obligations in this § 9 survive termination for a period of two (2) years.

§ 10Termination

  1. For convenience. Either Party may terminate this Agreement on seven (7) days’ written notice at any time during the Service Period. If the Client terminates for convenience before the Test Date, the refund provisions of § 6 do not apply, and the Fee is non-refundable (except as expressly provided in § 6).
  2. For breach. Either Party may terminate this Agreement immediately by written notice if the other Party commits a material breach of this Agreement and fails to remedy the breach within seven (7) days of written notice specifying the breach.
  3. Effect of termination. On termination:
    1. the Provider will deliver to the Client all work-in-progress in its current state;
    2. the Client’s access to systems already set up will not be disabled by the Provider;
    3. each Party’s accrued rights and obligations at the date of termination survive.

§ 11Liability, Warranties & General

  1. No guarantee of outcomes. The Provider does not warrant or guarantee any particular volume of leads, enquiries, property sales, Google rankings, Domain Rating growth, or subscriber count. Marketing outcomes depend on market conditions, the Client’s own execution, and factors outside the Provider’s control. The AI visibility refund in § 6 is the sole outcome-linked commitment.
  2. Cap on liability. To the maximum extent permitted by law, the Provider’s total aggregate liability under or in connection with this Agreement (whether in contract, tort, or otherwise) is limited to the Fee actually paid by the Client (NZ$1,725 including GST). The Provider is not liable for any indirect, consequential, or loss-of-profits damages.
  3. No professional advice. The Services do not constitute legal, financial, tax, real estate valuation, or immigration advice. The Client will obtain independent professional advice where required.
  4. Force majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control (including government action, natural disaster, or platform outages affecting the AI Platforms defined in § 2).
  5. Governing law & jurisdiction. This Agreement is governed by New Zealand law. The Parties submit to the exclusive jurisdiction of the Auckland District Court and High Court of New Zealand.
  6. Notices. Notices under this Agreement are validly given if sent by email to the addresses set out on page 1 of this Agreement, and are deemed received on the next business day.
  7. Entire agreement. This Agreement (together with Schedule A) is the entire agreement between the Parties on its subject and supersedes any prior discussions.
  8. Amendment. Amendments require written agreement signed by both Parties.
  9. Severability. If any provision is held invalid, the remainder of the Agreement continues in effect.
  10. Counterparts & electronic signature. This Agreement may be signed in counterparts, including by electronic signature. Emailed PDFs of executed signature pages are treated as originals.

By signing below, each Party confirms it has authority to sign this Agreement and agrees to be bound by its terms.
